Confidentiality

You shall neither during your employment, unless authorised by the University or required by your contract of employment, nor at any time after the termination of employment, directly or indirectly use, divulge or communicate to any persons, University, firm, company or other organisation whatsoever for your own purposes, or any purposes other than those of the University, any confidential information belonging to the University, or relating to the University’s affairs or dealings which may come to your knowledge during your employment, except as required by law or any regulatory body and without prejudice to the provisions of the Public Interest Disclosure Act 1998.

Confidential information means any information which could have commercial value or sensitivity if made public or used in another context or employment. It shall include, but is not limited to, that which has been specifically designated as confidential by the University, any trade secret or information relating to the commercial and financial activities of the University, the unauthorised disclosure of which would be liable to cause harm to, embarrass, or prejudice the University, any information supplied in confidence by any third party to which the University owes an obligation of confidentiality, and information of a personal or otherwise confidential nature relating to students, alumni, members of staff, officers or members of the governing body of the University.

All books, notes, memoranda, records correspondence, computer and other discs and tapes, codes, passwords and other documents and material relating to the business of the University, together with any copies, shall be and remain the property of the University and on termination of your employment must be returned to the University.

This restriction shall cease to apply with respect to any information or knowledge that comes into the public domain other than in breach of this clause by way of unauthorised disclosure.

For the purposes of this clause “the University” shall include any of the University’s subsidiary companies.
